Terms of Use

By creating an account, accessing, or using KoreFSM ("the Platform"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to all of these terms, you may not use the Platform. These terms constitute a legally binding agreement between you and KoreFSM Inc. ("KoreFSM," "we," "us," or "our").

If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "your" will refer to that entity.

You must be at least 18 years of age and legally capable of entering into binding contracts to use KoreFSM. By registering an account, you confirm that you meet these eligibility requirements. You are responsible for ensuring that all individuals you invite to your organization comply with these Terms.

KoreFSM is an AI-powered field service management platform providing job scheduling, dispatching, invoicing, customer management, inventory tracking, communication tools, and related features. Features vary by subscription tier. We may add, modify, or remove features at any time without prior notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account or within your organization. You must notify us immediately of any unauthorized access or security breach. Multi-tenant organizations must ensure their team members comply with these Terms. You are fully responsible for all content and data entered into the Platform by you or your team members.

Paid plans are billed monthly or annually through Stripe. Prices are subject to change with 30 days' notice. Refunds are available within 14 days of initial purchase only. Failure to pay may result in account suspension or termination. All fees are non-refundable except as expressly stated herein. You authorize us to charge your payment method for all recurring fees until you cancel your subscription.

You retain full ownership of all data entered into KoreFSM. We do not claim any intellectual property rights over your business data, customer records, or uploaded content. You grant us a limited, non-exclusive license to process this data solely to provide the service to you.

You are solely responsible for the accuracy, legality, and appropriateness of all content and data you or your team members enter into the Platform. You represent and warrant that your content does not violate any law, regulation, or third-party rights, including intellectual property rights, privacy rights, or contractual obligations.

You are solely responsible for backing up your data. While we implement reasonable measures to protect data integrity, KoreFSM is not responsible for any data loss, corruption, or deletion, regardless of cause. This includes data loss resulting from system errors, bugs, outages, hacking, user error, force majeure events, or any other reason.

We strongly recommend that you regularly export and back up your data. We do not guarantee that data can be recovered in the event of loss. You acknowledge that we shall not be liable for any loss of data, business records, or business opportunities resulting from data loss or Platform unavailability.

AI-generated suggestions, schedules, recommendations, communications, and other outputs are provided "as is" and should be reviewed by a qualified human before acting upon them. KoreFSM is not liable for any business decisions, financial losses, or damages made based on AI outputs. AI usage is subject to monthly limits based on your subscription tier.

AI features may produce inaccurate, incomplete, or inappropriate results. You must independently verify all AI-generated content before use. KoreFSM does not guarantee the accuracy, reliability, or completeness of any AI output.

We target 99.9% uptime for all paid plans. Scheduled maintenance windows are communicated 48 hours in advance where possible. In the event of unplanned downtime exceeding our SLA, affected customers may request service credits proportional to the outage duration. Service credits are the sole remedy for SLA breaches and do not constitute an admission of liability.

You may not use KoreFSM to:

• Transmit malicious, illegal, fraudulent, or harmful content
• Attempt unauthorized access to other accounts, systems, or data
• Reverse-engineer, decompile, or disassemble the Platform
• Use the Platform to send unsolicited commercial communications (spam)
• Upload content that infringes on intellectual property rights
• Use the Platform in violation of any applicable local, state, national, or international law
• Interfere with or disrupt the Platform's servers, networks, or security measures
• Use the Platform to store or process data for any illegal activity
• Resell, sublicense, or redistribute access to the Platform without authorization

Violation may result in immediate account suspension or termination without refund. We reserve the right to report illegal activities to the appropriate authorities.

KoreFSM integrates with third-party services including Stripe (payments), Twilio (communications), RingCentral (voice), Google (authentication), and others. These third-party services are governed by their own terms of service and privacy policies. KoreFSM is not responsible for the actions, availability, or failures of any third-party service.

You acknowledge that third-party services may experience outages, change their APIs, or discontinue functionality at any time. We are not liable for any disruption to your business caused by third-party service failures.

KoreFSM, including its software, design, branding, features, and documentation, is the intellectual property of KoreFSM Inc. and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works from the Platform without our express written permission.

If you upload content that infringes on the intellectual property rights of others, you are solely liable for such infringement. You agree to indemnify and hold KoreFSM harmless from any claims arising from your infringing content.

The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of data
• Uninterrupted or error-free operation
• That defects will be corrected

We do not warrant that the Platform will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, or that results obtained from its use will be accurate or reliable. You use the Platform entirely at your own risk.

To the maximum extent permitted by law, KoreFSM's total aggregate liability for all claims arising from or related to the Platform shall not exceed the total fees paid by you to KoreFSM in the 12 months preceding the claim.

In no event shall KoreFSM, its officers, directors, employees, contractors, or affiliates be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business, or goodwill
• Loss or corruption of data
• Business interruption or downtime
• Loss of customer or client relationships
• Any damages resulting from third-party service failures
• Any damages resulting from your reliance on AI-generated content

This limitation applies regardless of the legal theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless KoreFSM Inc., its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content or data you upload to the Platform
• Your reliance on AI-generated outputs
• Any claim that your use of the Platform caused damage to a third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of any such claim. We will use reasonable efforts to notify you of any such claim, but our failure to notify you does not relieve you of your indemnification obligations.

Any dispute or claim arising from or related to these Terms or your use of the Platform shall be resolved through binding arbitration, not in court. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) in the state of Delaware. The arbitrator's decision is final and binding on both parties.

You waive your right to participate in any class action lawsuit or class-wide arbitration. Any dispute must be brought in your individual capacity, and you may not combine your claim with the claims of other users.

You and KoreFSM agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any legal proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

KoreFSM shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, civil unrest, government actions, pandemics, internet or utility failures, hosting provider outages, cyber attacks, or labor disputes. We will use commercially reasonable efforts to resume performance as soon as practicable.

If you use KoreFSM's API or developer tools, you must comply with all rate limits, authentication requirements, and usage guidelines. We may revoke API access at any time without notice if you violate these Terms or if your account poses a security risk. API access is provided "as is" with no guarantee of uptime or availability.

You are responsible for securing your API keys and credentials. Any use of your API keys constitutes use by you, and you are liable for all such use.

You agree to comply with all applicable export control laws, including U.S. export regulations. You may not use the Platform in, or export data to, any country or person subject to U.S. export restrictions or economic sanctions.

Either party may terminate at any time. Upon termination, you may export your data within 30 days. After this period, data is permanently deleted per our retention policy. We may terminate or suspend your account immediately, without notice, if you violate these Terms or if your account poses a security or legal risk to us or other users.

Upon termination, all licenses granted to you cease immediately. Sections that by their nature should survive termination shall survive, including but not limited to: Disclaimer of Warranties, Limitation of Liability, Indemnification, Arbitration, and Governing Law.

We may modify these Terms at any time. We will notify users of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KoreFSM regarding the use of the Platform. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
